Matterfield Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of Matterfield, operated by Quantum Theory Entertainment, LLC (“Matterfield,” “we,” “us,” or “our”), including our website, account features, 3D asset library, downloads, previews, subscriptions, software tools, and sponsorship features.

By using Matterfield, you agree to these Terms. If you do not agree, do not use the service.

1. Accounts

You may need an account to download assets, manage collections, sponsor assets, or access subscription features.

You agree to:

  • Provide accurate and current information
  • Maintain the security of your account credentials
  • Be responsible for all activity under your account

We may suspend or terminate accounts that violate these Terms, misuse the service, attempt to bypass access controls, or engage in unlawful or harmful activity.

2. Plans and Subscriptions

Matterfield offers free and paid subscription plans, which may include Free, Friend, Partner, and Benefactor tiers.

Plan names, pricing, features, access levels, and availability may change over time.

Paid subscriptions:

  • Are billed on a recurring basis
  • Automatically renew unless canceled before the end of the billing period
  • Provide access to features and assets based on the selected plan

Features may include access to premium assets, rare or restricted assets, high-resolution data, HDRIs, software tools, community features, and sponsorship options.

3. Billing and Payment

Payments are processed by Stripe or other third-party providers. Matterfield does not store full payment details.

By subscribing, you authorize the payment provider to charge your selected payment method on a recurring basis.

You are responsible for:

  • Applicable taxes
  • Fees and charges associated with your subscription

If payment fails, access to paid features may be suspended or revoked.

4. Cancellation

You may cancel your subscription at any time through your account settings.

  • Cancellation takes effect at the end of the current billing period
  • You retain access to paid features until that period ends
  • After cancellation, your account may revert to a free plan with reduced access

5. Refunds

Subscription fees are non-refundable except where required by law.

We do not provide refunds for:

  • Partial billing periods
  • Unused time
  • Previously downloaded assets

6. Asset Access and Downloads

Matterfield provides access to digital assets including 3D models, surface scans, textures, HDRIs, and related materials.

Access depends on your subscription plan and asset availability.

We do not use a credit system. However, we may monitor usage and limit or suspend activity that appears:

  • Automated
  • Excessive
  • Abusive
  • Fraudulent
  • Intended to replicate or redistribute the Matterfield library

Downloads are delivered via secure, time-limited signed URLs.

You may not share:

  • Download links
  • Access tokens
  • Account credentials
  • Raw asset files outside your permitted scope

7. Licensing

7.1 License Types

Matterfield provides two categories of licensed content:

  • Digital Assets (e.g., 3D scans, textures, HDRIs, models) governed by the Matterfield Asset License
  • Software and Tools (e.g., plugins, add-ons, utilities) governed by the Matterfield Software License

The applicable license is identified on the product or asset page.

7.2 Asset License (Summary)

Unless otherwise specified, digital assets are provided under a non-exclusive, non-transferable, perpetual license.

You may:

  • Use assets in commercial and non-commercial projects, including games, films, visual effects, simulations, and client work
  • Modify and incorporate assets into larger works
  • Use assets within internal pipelines, including rendering workflows and AI-assisted inference systems

You may not:

  • Resell, redistribute, sublicense, or share assets as standalone files
  • Upload assets to other marketplaces or libraries
  • Share assets outside your organization or authorized team
  • Use assets to create competing libraries, datasets, or marketplaces
  • Use assets for training machine learning or AI models
  • Circumvent access or subscription controls

Assets downloaded during an active subscription may be used indefinitely, even after cancellation, provided you comply with these Terms.

All assets remain the intellectual property of Matterfield or its licensors.

7.3 Software License

Software, tools, and add-ons are subject to a separate Software License Agreement, which may include additional restrictions such as seat limits, usage scope, and distribution limitations.

7.4 Enterprise and Custom Licensing

Custom, enterprise, or exclusive licensing arrangements — including expanded usage rights or ownership transfers — may be available under separate written agreement with Matterfield.

7.5 License Termination

If you violate these Terms or applicable license agreements, your rights to use Matterfield assets or software may be immediately terminated.

8. Sponsorships

Eligible users may sponsor assets, allowing display of sponsor text and a website link on an asset page.

Sponsorships:

  • Are subject to availability
  • May be limited per user or asset
  • May be removed or modified at our discretion

You are responsible for submitted content and may not include unlawful, misleading, harmful, or infringing material.

Sponsorship does not imply endorsement or guarantee performance.

9. User Content

By submitting content (e.g., profile data, collections, sponsorship text), you grant Matterfield a limited right to use, display, and process that content to provide the service.

You represent that you have the rights to submit such content.

10. Acceptable Use

You agree not to:

  • Bypass subscription or access controls
  • Share accounts, credentials, or private files
  • Scrape or bulk download content in an abusive manner
  • Build competing asset libraries, datasets, or marketplaces using Matterfield content
  • Upload malicious, unlawful, or deceptive content
  • Infringe intellectual property or other rights
  • Interfere with platform security or operations
  • Use assets in violation of their license

11. Account Deletion

You may delete your account at any time.

Deletion may:

  • Remove your personal data
  • Revoke access to subscriptions and features
  • Remove collections and sponsorships

Some records may be retained as required for legal, tax, billing, security, or fraud prevention purposes.

12. Changes to the Service or Terms

We may update the platform, pricing, features, or these Terms at any time.

Updated Terms will be posted with a revised effective date. Continued use of Matterfield constitutes acceptance of the updated Terms.

13. Disclaimers

Matterfield is provided “as is” and “as available.”

We do not guarantee:

  • Continuous or error-free operation
  • Asset availability or completeness
  • Compatibility with all tools or pipelines
  • Suitability for specific production needs

14. Limitation of Liability

To the fullest extent permitted by law, Matterfield will not be liable for indirect, incidental, consequential, or special damages, including loss of profits, data, business, or production time.

15. Governing Law

These Terms are governed by the laws of the State of North Carolina, USA.

Any disputes will be resolved in the courts of North Carolina, unless otherwise required by law.
